1. Acceptance of Terms

By accessing or using Restructured ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform.

2. Description of Service

Restructured provides software tools to help organizations manage employment restructuring processes in accordance with New Zealand's Employment Relations Act 2000. The Platform includes:

• Guided workflow templates
• Document generation tools
• Consultation management features
• Compliance tracking and audit trails
• Analytics and reporting

4. User Responsibilities

By using the Platform, you agree that:

• You will consult with a qualified employment lawyer before making employment decisions
• You will maintain appropriate professional indemnity insurance
• You are solely responsible for all decisions made using the Platform
• You will comply with all applicable employment laws and regulations
• You will not rely on the Platform as a substitute for legal advice
• You will verify all information and recommendations with qualified professionals

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Restructured and its affiliates shall not be liable for any employment disputes, legal claims, or damages arising from your use of the Platform
• You use the Platform entirely at your own risk
• We make no warranties about the accuracy, completeness, or suitability of any information provided
• We are not liable for any personal grievances, court cases, or legal penalties you may face
• Our total liability to you shall not exceed the amount you paid for the Platform in the 12 months preceding the claim

6. Indemnification

You agree to indemnify, defend, and hold harmless Restructured, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Platform
• Your employment decisions
• Your failure to obtain independent legal advice
• Your violation of these Terms of Service
• Your violation of any laws or regulations
• Any personal grievances or employment disputes

7. Professional Indemnity Insurance

Users must maintain appropriate professional indemnity insurance coverage, including:

• Employment Practices Liability Insurance (EPLI)
• Coverage for wrongful termination, discrimination, and harassment claims
• Minimum recommended coverage: NZD $500,000 (small organizations) to $5,000,000 (large organizations)

8. Data Privacy & Security

We take your data privacy seriously. Our Privacy Policy (available separately) explains how we collect, use, and protect your information. Key points:

• Your data is encrypted and stored securely
• We comply with New Zealand Privacy Act 2020
• You retain ownership of your data
• You can export or delete your data at any time

9. Subscription & Payment

During the beta period, access to Restructured is provided free of charge. Upon commercial launch:

• Subscription fees will apply as outlined in our pricing page
• Payments are processed monthly or annually in advance
• You may cancel your subscription at any time
• No refunds for partial months

10. Termination

We reserve the right to suspend or terminate your access to the Platform at any time for:

• Violation of these Terms of Service
• Non-payment of subscription fees
• Misuse of the Platform
• Any reason at our sole discretion

11. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes via email or in-platform notification. Your continued use of the Platform after changes constitute acceptance of the new terms.

12. Governing Law

These Terms of Service are governed by the laws of New Zealand. Any disputes shall be resolved in the courts of New Zealand.

13. Entire Agreement

These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Restructured regarding use of the Platform.
